BUSINESS OF THE MEETING
The business of the Annual General Meeting will be:
- Confirmation of minutes of the previous Annual General Meeting.
- Receipt of the Executive Committee’s Annual Report.
- Receipt and consideration of the Financial Statements for the year ended 31 March 2025 and the Auditor’s Report.
- Consideration of Life Member nominations (if any).
- Special Resolution – Adoption of New Constitution.
- Election of Executive Committee Members (conditional upon adoption of the proposed Constitution).
- Any other business of which proper notice has been given.
SPECIAL RESOLUTION
To consider and, if thought fit, pass the following resolution as a Special Resolution:
“That the Constitution tabled at the meeting and circulated to Members with this Notice be adopted as the Constitution of Manly Warringah Touch Association Incorporated and that it replace the existing Constitution in its entirety.”

In accordance with the Constitution and the Associations Incorporation Act 2009 (NSW), this Special Resolution requires at least 75% of votes cast by Members present and entitled to vote.
ELECTION OF EXECUTIVE COMMITTEE
If the Special Resolution adopting the proposed Constitution is passed:
- All Executive Committee positions will be declared vacant; and
- Elections will be conducted in accordance with the proposed Constitution.
The following Executive Committee positions will be open for election:
- President
- Vice President
- Secretary
- Treasurer
- General Executive Member

Nominations must:
- Be in writing on the prescribed form;
- Be signed by two Financial Members;
- Be signed by the nominee;
- Be received by the Executive Committee no later than 5pm Monday 23rd March 2026.
If the proposed Constitution is not adopted, elections will proceed in accordance with the current Constitution.
